These Terms of Service ("Terms") govern the use of Nutcracker (the "Service"), provided by Pähkinänsärkijä Oy, business ID 2800792-5, Mikonkatu 20 B 1, 00100 Helsinki, Finland ("we", "us"). By creating an account, starting a trial or buying a subscription you accept these Terms on behalf of yourself and the organisation you represent (the "Customer").
1. The Service
Nutcracker is a business-to-business service for finding, following and preparing bids for public procurement. It includes tender search and alerts, saved searches, a bid pipeline, an AI-assisted bid assistant, a company document vault and company knowledge, partner search, and messaging between members.
The Service is intended for businesses and public bodies only. It is not offered to consumers. If you use it, you confirm that you act for a business or organisation.
2. Accounts and organisations
You need an account to use most features. Keep your sign-in details secret and tell us without delay if you suspect misuse. You are responsible for what is done with your account.
One person may hold one account per mailbox. We may refuse or disable duplicate accounts created to obtain additional trials or allowances.
Accounts can create and join organisations. The owner and admins of an organisation invite members, manage roles and billing, and are responsible for who has access. Each member of an organisation is a seat.
The organisation's content (pipeline items, bids, vault documents, company knowledge, labels and settings) belongs to the organisation. Members who leave lose access to it.
3. Plans, trial and bid credits
- Free: search, alerts and personal features at no charge, with the limits shown on the Plans page.
- Pro and Business: paid plans per organisation, billed per seat (member) per month or per year.
- Trial: one 14-day Pro trial per company without a card. A trial ends automatically unless a payment method is added. We may limit the number of members during a card-less trial and refuse a further trial for the same company (same e-mail address, company domain or VAT number).
- Bid credits: paid plans include a monthly allowance of bid credits for the bid assistant. Unused monthly credits do not roll over. Purchased credit packs do not expire while the organisation has an account, but they are not refundable and are not converted into money.
We may change the features of the Free plan and add or remove features of the paid plans. We will not materially reduce the core features of a paid plan during a paid period.
4. Prices and payment
Prices are shown on the Plans page and in Checkout, in euros and exclusive of VAT. VAT is added where it applies (for example Finnish VAT, or reverse charge for EU businesses with a valid VAT number) and is calculated by Stripe Tax.
Payments are processed by Stripe. Subscriptions are charged in advance for each billing period. Invoice billing is available under separate Enterprise agreements, on the payment terms agreed in them. Changes in the number of users during a period are prorated.
If a payment fails we may retry it and, after a grace period, downgrade the organisation to the Free plan. Overdue invoices may bear interest under the Finnish Interest Act.
We may change prices with at least 30 days' notice. A change applies from the next billing period; you may cancel before it takes effect.
5. Cancellation
An admin can cancel a subscription at any time in the billing portal. The cancellation takes effect at the end of the current billing period; the plan stays active until then. Fees already paid are not refunded except where required by law.
After cancellation the organisation continues on the Free plan. Its content stays available within the Free plan's limits until the organisation or the accounts are deleted.
6. Acceptable use
You must not:
- break the law, infringe others' rights or upload content you are not entitled to share;
- scrape, bulk-download or resell the Service or its data, or use it to build a competing database, except through features we provide for that purpose;
- probe, overload or circumvent the security, quotas, rate limits or credit limits of the Service;
- send spam or misleading partner requests, or harass other users;
- upload malware, or personal data you have no lawful basis to process.
We may remove content or suspend access that breaches these Terms (see section 13).
7. Your content
You keep all rights to the content you and your organisation add to the Service ("Customer Content"), such as bid texts, documents, CVs and company facts. You grant us a non-exclusive licence to host, process, copy and display Customer Content only as needed to provide, secure and support the Service for you.
When Customer Content includes personal data (for example colleagues' CVs), the Customer is the controller and we process it on its behalf under the Data Processing Agreement, which forms part of these Terms.
You are responsible for having the rights and the lawful basis for the content you upload.
8. AI features
The bid assistant, smart search, match explanations, the in-app assistant and similar features use generative AI models. Their output can be incomplete, outdated or wrong, and the same input may give different results.
Always check AI output before you rely on it. You are responsible for the bids, declarations and documents you submit. We do not guarantee that a bid is complete, compliant or successful, or that a tender suits you.
Customer Content sent to the AI models is processed by Google Cloud's Vertex AI in the EU and is not used to train the models. AI features may be limited by quotas, credits and daily caps.
9. Tender data and documents
Tender notices, award data, buyer and supplier information come from official public sources (such as TED and national procurement portals). We process and enrich them but provide them "as is": the official notice and procurement documents always prevail. Forecasts of future tenders are estimates.
Tender documents obtained for a tender (downloaded from the procurement platform or uploaded by a user) may be shared with other organisations preparing a bid for the same tender. Do not upload your own confidential bid material as tender documents; use your organisation's bid and vault features for that. We remove documents on a justified request from the rights holder.
10. Partner search and messages
Partner search lets organisations show interest in a tender and contact each other. Be accurate and professional; we may limit, hide or remove posts and requests that are reported or break these Terms. Any agreement between organisations is between them; we are not a party to it.
Messages between members are end-to-end encrypted. We cannot read them or recover them if you lose your messaging PIN.
11. Availability and changes
We aim for a reliable Service but do not guarantee uninterrupted availability. We may carry out maintenance and change the Service. We will try to announce changes that significantly affect paid plans in advance.
12. Warranty and liability
Except as expressly stated in these Terms, the Service is provided "as is" and without warranties of any kind, including fitness for a particular purpose.
Neither party is liable for indirect or consequential loss, such as lost profit, lost revenue, lost contracts or tenders, or loss of data that could have been avoided by reasonable backups.
Our total liability under these Terms in any 12-month period is limited to the fees the Customer paid for the Service in the 12 months before the event giving rise to the claim (and for Free use, to EUR 100). These limits do not apply to liability that cannot be limited by law, or to damage caused intentionally or by gross negligence.
The Customer indemnifies us against third-party claims arising from Customer Content or from use of the Service in breach of these Terms.
13. Suspension, termination and deletion
We may suspend or close an account or organisation that seriously or repeatedly breaches these Terms, does not pay, or puts the Service or others at risk. Where reasonable we warn first.
You can delete your account at any time in your profile (Profile → Delete account). If you are the only owner of an organisation that has other members, you first transfer ownership; an active paid subscription must be cancelled first. Deleting the last member's account deletes the organisation and its content. Download what you need beforehand (Profile → Download my data).
We keep invoices and payment records as required by accounting law, and a minimal record of used trials to prevent abuse, as described in the Privacy Policy.
14. Changes to these Terms
We may update these Terms. We will give at least 30 days' notice of material changes by e-mail or in the Service. If you do not accept the changes you may cancel before they take effect; continued use after that date means acceptance.
15. Governing law and disputes
These Terms are governed by the laws of Finland, excluding its conflict-of-law rules. Disputes are settled in the District Court of Helsinki, Finland, unless the parties agree otherwise.
